Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AssetManager, Inc. ("AssetManager," "we," "us," or "our") governing your access to and use of the AssetManager website, mobile application, and related services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

You must be at least 18 years old and able to form legally binding contracts to access and use our Platform. By accessing or using our Platform, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify AssetManager immediately of any unauthorized use of your account.

AssetManager reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

4. Platform Services

AssetManager provides a platform that connects property owners and renters directly, allowing them to list, discover, and rent properties without brokerage fees.

AssetManager is not a party to any agreements between property owners and renters. We do not own, sell, resell, furnish, provide, rent, or manage any properties.

AssetManager is not a real estate broker, agent, or insurer. We do not guarantee the existence, quality, safety, suitability, or legality of any listings or rentals.

5. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of any third party
• Post false, misleading, or deceptive content
• Harassment, threatening, or intimidating other users
• Impersonate any person or entity
• Use the Platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to systems or data
• Interfere with the proper functioning of the Platform
• Engage in any activity that could damage or disable the Platform

AssetManager reserves the right to remove any content and suspend or terminate any user's access to the Platform for violations of these Terms.

6. Fees and Payments

Property owners may be charged a service fee when they successfully find a tenant through our Platform. The specific fee amount will be disclosed before a property owner completes a transaction. No fees are charged to renters for using the Platform.

All fees are non-refundable unless otherwise specified in these Terms or required by applicable law.

AssetManager uses third-party payment processors to process payments. By using our Platform, you agree to the terms and privacy policies of these third-party payment processors.

7. Property Listings

Property owners are responsible for ensuring that their listings are accurate, complete, and do not violate any laws or regulations. Property owners must have the legal right to list the properties they post.

AssetManager reserves the right to remove any listing from the Platform for any reason, including but not limited to violations of these Terms.

8. Rental Agreements

Rental agreements are made directly between property owners and renters. AssetManager is not a party to these agreements and is not responsible for the performance or non-performance of any obligations under these agreements.

Users are responsible for complying with all applicable laws and regulations regarding rental agreements, including but not limited to fair housing laws, landlord-tenant laws, and tax laws.

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by AssetManager and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works from, distribute, or publicly display any content from the Platform without prior written consent from AssetManager or the respective rights holder.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

AssetManager does not warrant that the Platform will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

11. Limitation of Liability

IN NO EVENT SHALL ASSETMANAGER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM; AND
• UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless AssetManager and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• Any claim that your content caused damage to a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be exclusively submitted to the state and federal courts located in New York County, New York.

14. Changes to Terms

AssetManager reserves the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on the Platform and updating the "Last Updated" date.

Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
